Agreement to Terms
By accessing or using the services of The Ideas Inside (operated by Gemmine Organization, LLC, referred to as "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services Overview
We provide digital strategy, design, and development services for small businesses, including but not limited to:
Website development (Squarespace and custom solutions)
Brand identity and positioning
Social media strategy and content
Merch store setup and strategy
SEO optimization
Email marketing setup
CRM integration
Strategic advising and consulting
Ongoing maintenance and support services
Service Engagement Process
Discovery and Proposal
Initial Consultation: We offer a free 30-minute discovery call to understand your needs
Proposal: We provide a written proposal outlining recommended services, deliverables, timeline, and pricing
Agreement: Services begin upon acceptance of the proposal and receipt of the initial payment
Project Onboarding
Survey Completion: Client completes a comprehensive onboarding survey
Kickoff Meeting: 60-minute meeting to align on project vision and expectations
Timeline Agreement: Both parties agree to project milestones and deadlines
Payment Terms
Project-Based Services
Deposit: 50% deposit is required before work begins on projects over $3,000
Final Payment: Remaining balance due upon project completion
Under $3,000: Full payment due upfront or 50% deposit at the client's preference
Payment Methods: We accept credit cards, ACH transfers, and checks
Late Payments: Invoices not paid within 15 days are subject to 1.5% monthly interest charge
Payment Plans: Available for projects over $3,000; terms must be agreed upon in writing
Retainer Services
Monthly Billing: Retainer services are billed monthly in advance
Auto-Renewal: Retainers automatically renew each month unless cancelled
Cancellation: 30-day notice required to cancel retainer services
Unused Hours: Retainer hours do not roll over to subsequent months
Referral Credits
Application: Referral credits apply to the final invoice
Non-Transferable: Credits cannot be transferred or exchanged for cash
Expiration: Credits never expire
Terms: Subject to referral program terms outlined separately
Client Responsibilities
You agree to:
Provide accurate and complete information during onboarding
Respond to requests for feedback within agreed-upon timeframes (typically 3 business days)
Provide necessary access to accounts, platforms, and existing materials
Respect our revision policies as outlined in your service agreement
Make timely payments according to invoice terms
Own and maintain any accounts we set up on your behalf (Squarespace, email platforms, etc.)
Revision and Scope Policies
Revision Rounds
Each service includes defined revision rounds (specified in the service description)
Revisions must be submitted in writing using our feedback forms
Additional revision rounds beyond the scope may incur additional fees
Scope Changes
Requests outside the original project scope require a written change order
Additional fees will be quoted and must be approved before proceeding
Timeline may be adjusted based on scope changes
Timeline Extensions
Client delays (late feedback, missing materials) may extend the project timeline
We will notify you of timeline impacts and adjust deadlines accordingly
Extended timelines due to client delays do not affect payment terms
Intellectual Property Rights
Client Ownership
Upon full payment, you own:
Final deliverables created specifically for your project
Custom code written for your website
Designs created for your brand identity
Content created for your business
Our Ownership
We retain rights to:
Our proprietary processes, templates, and methodologies
Pre-existing code libraries and tools
General knowledge and techniques applied to your project
The right to display your project in our portfolio (unless otherwise agreed)
Third-Party Materials
Stock photos, fonts, and third-party tools remain the property of their respective owners
Licenses for third-party materials are your responsibility to maintain
We will identify any third-party materials requiring ongoing licenses
Portfolio Use
We reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials unless you request otherwise in writing.
Service Guarantees and Limitations
What We Guarantee
Professional-quality work meeting industry standards
Work delivered according to agreed-upon timeline (subject to client cooperation)
30-day post-launch support for bug fixes within the original scope
Training and documentation for all deliverables
Honest recommendations in your best interest
What We Don't Guarantee
Specific business results, revenue, traffic, or rankings
That you will be satisfied with subjective design preferences (hence revision rounds)
Functionality of third-party platforms outside our control
Future compatibility with platform updates beyond our control
Warranty Period
30 days from project completion for bug fixes and adjustments within scope
Does not cover changes to requirements, new features, or third-party platform issues
Extended warranty is available through a maintenance retainer
Platform and Service Limitations
Squarespace Services
We recommend Squarespace for most small business websites based on our professional judgment
Squarespace limitations apply (platform capabilities, template constraints, etc.)
You are responsible for the ongoing Squarespace subscription fees
We are not responsible for Squarespace platform changes or limitations
Third-Party Services
We may recommend third-party services (email platforms, payment processors, etc.)
You are responsible for terms, pricing, and ongoing relationships with third-party providers
We are not liable for third-party service failures, price changes, or policy updates
Cancellation and Refunds
Project Cancellation
Before Work Begins: Full refund minus administrative fee ($250)
After Design Begins: 50% of project fee (kill fee) for work completed
After 50% Completion: No refund; remaining deliverables provided as-is
Retainer Cancellation
30-day written notice required
No refund for the current billing period
Outstanding work will be completed or delivered as-is
Our Right to Terminate
We reserve the right to terminate services if:
Client fails to make timely payments
Client is abusive, threatening, or disrespectful to our team
Client repeatedly misses deadlines, causing excessive delays
Client requests work that violates our ethical standards
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Our total liability shall not exceed the amount paid for the specific service
We are not liable for indirect, incidental, consequential, or punitive damages
We are not liable for lost profits, data, or business opportunities
We are not liable for damages caused by third-party services or platforms
Indemnification
You agree to indemnify and hold harmless The Ideas Inside and Gemmine Organization, LLC from any claims, damages, or expenses arising from:
Your use of our deliverables
Content you provide to us
Your violation of these terms
Your violation of any third-party rights
Confidentiality
Both parties agree to:
Keep confidential information private
Use confidential information only for the purposes of the project
Not disclose confidential information without written consent
Return or destroy confidential information upon request
Dispute Resolution
Governing Law
These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
Dispute Process
Negotiation: Both parties agree to attempt good-faith negotiation
Mediation: If negotiation fails, parties agree to mediation before litigation
Jurisdiction: Any legal action must be brought in state or federal courts in Massachusetts
Miscellaneous
Independent Contractor
We are an independent contractor, not an employee or agent of your business.
Entire Agreement
These terms, along with your signed proposal, constitute the entire agreement between the parties.
Amendments
We may update these terms from time to time. Material changes will be communicated via email. Continued use of services constitutes acceptance of updated terms.
Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control (such as natural disasters, pandemics, or government actions).
Assignment
You may not assign or transfer your rights without our written consent. We may assign our rights and obligations to a successor business.
